Viking Cruises Ltd Announces Receipt of Requisite Consents in Consent Solicitations for its 6.250% Senior Notes due 2025 and 5.875% Senior Notes due 2027

LOS ANGELES, Feb. 1, 2018 /PRNewswire/ — Viking Cruises Ltd (“Viking”) today announced that it has received consents from holders of at least a majority of the outstanding aggregate principal amount of its outstanding 6.250% Senior Notes due 2025 (the “2025 Notes”) and 5.875% Senior Notes due 2027 (the “2027 Notes” and, together with the 2025 Notes, the “Notes”) to approve certain proposed amendments to the indenture governing the 2025 Notes (the “2025 Indenture”) and a proposed amendment to the indenture governing the 2027 Notes (together with the 2025 Indenture, the “Indenture”), which Viking requested pursuant to its previously announced consent solicitations (collectively, the “Consent Solicitations”). The Consent Solicitations expired yesterday, Wednesday, January 31, 2018, at 5:00 p.m. New York City time.

On January 31, 2018, following receipt of the requisite consents, Viking, the guarantors party thereto and the trustee executed a supplemental indenture to each Indenture incorporating the proposed amendments. While the supplemental indenture to each Indenture became effective upon execution, the proposed amendments will not become operative unless the applicable consent fee is paid.

The complete terms and conditions of the Consent Solicitations are detailed in the Consent Solicitation Statement dated January 24, 2018 with respect to the 2025 Notes (the “2025 Consent Solicitation Statement”), and the Consent Solicitation Statement dated January 24, 2018 with respect to the 2027 Notes (the “2027 Consent Solicitation Statement”), which were sent to all holders of record of the applicable series of Notes as of the record date.
